1. Acceptance of Terms

By accessing or using Orthopedics This Week ("OTW"), operated by RRY Publications, LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

OTW provides news, analysis, and community features for the orthopedic industry, including but not limited to articles, community posts, job listings, press releases, and the MSK Innovations platform. Some features require a paid subscription.

3. User Accounts

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You must provide accurate and complete information when creating your account. OTW reserves the right to terminate accounts that violate these terms or that contain false information.

4. Subscriptions and Payments

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method for the applicable subscription fee. Subscriptions automatically renew unless cancelled before the renewal date.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except where required by law.

5. Content and Intellectual Property

All content published on OTW, including articles, images, graphics, and editorial content, is the property of RRY Publications, LLC or its content suppliers and is protected by copyright laws. You may not reproduce, distribute, or create derivative works without express written permission.

By submitting content to OTW (including comments, community posts, or press releases), you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display such content in connection with our services.

6. User Conduct

You agree not to:

• Post content that is defamatory, obscene, or violates any applicable law
• Impersonate any person or entity
• Use our services for spam or unsolicited commercial communications
• Attempt to gain unauthorized access to our systems
• Scrape or harvest content from our platform without permission
• Interfere with the proper functioning of our services

7. MSK Innovations Platform

7.1 Nature of the Platform

MSK Innovations provides a directory and introductory service only. Investors and companies connect through the platform and then negotiate and transact directly with each other. OTW is not a party to any transaction, investment agreement, or financial arrangement between users.

7.2 Company Responsibilities

Companies listed on MSK Innovations are solely responsible for:

• The accuracy, completeness, and legality of all submitted information
• Compliance with all applicable federal and state securities laws, including but not limited to the Securities Act of 1933 and the Securities Exchange Act of 1934
• Compliance with all applicable medical device regulations, including FDA requirements
• Obtaining all required regulatory approvals, licenses, and permits
• Ensuring that any fundraising activities comply with applicable exemptions or registration requirements

7.3 Investor Responsibilities

Investors using MSK Innovations acknowledge and agree that:

• They are solely responsible for conducting independent due diligence on any company or opportunity
• Investments in early-stage medical devices and biologics are highly speculative and involve substantial risk, including potential loss of all invested capital
• They should consult with qualified legal, financial, and tax advisors before making any investment
• OTW's listing of a company does not imply any guarantee of returns, viability, or regulatory approval

7.4 No Financial Intermediary

OTW does not: (a) hold, transfer, or manage investor funds; (b) act as a broker-dealer, investment adviser, funding portal, or placement agent; (c) provide escrow services; or (d) facilitate the execution of securities transactions. Any funds exchanged between investors and companies are handled entirely by those parties directly, outside of the OTW platform.

7.5 Limitation of Liability, MSK Innovations

To the maximum extent permitted by law, OTW and RRY Publications, LLC shall not be liable for any losses, damages, or claims arising from: (a) any investment made through or as a result of a connection made on MSK Innovations; (b) the failure of any company to comply with applicable law; (c) the accuracy or completeness of any company's submitted materials; or (d) any transaction between investors and companies.

8. Disclaimer of Warranties

OTW is provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components. Content on OTW is for informational purposes only and does not constitute medical, legal, financial, or professional advice.

9. Limitation of Liability

To the maximum extent permitted by law, RRY Publications, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability to you for any claim shall not exceed the amount you paid to us in the twelve months preceding the claim.

10. Governing Law

These Terms of Service are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes by posting the updated terms on this page. Your continued use of our services after changes constitutes acceptance of the new terms.
